Spring Collaboration Agreement

This agreement is intended to define expectations and lead to the successful implementation of Spring by ActionFlow for you.

1. The monthly subscription fees paid to Spring are non-refundable.

2. YOUR BIG STICK. You have no obligation to continue paying for Spring once you have begun. You may end the subscription at any time with no penalty. Our goal is to make Spring so valuable that you want to continue paying for it.

Additional Acknowledgements

Spring desktop software requires the Microsoft Windows Operation System (Microsoft Windows can be run on a Mac computer if you separately purchase Parallels software. ActionFlow desktop software does not run on iPad or Android tablets, although the mobile application can run on those devices.)

Spring stores its data on the internet (Microsoft Cloud) and requires an internet connection. The performance of ActionFlow will therefore be dependent upon the speed of the internet connection.

The creators of Spring work hard to ensure the accuracy of all calculations, but accuracy can’t be guaranteed for all future calculations. You are ultimately responsible for ensuring the accuracy of calculations.

Client agrees that all Spring applications are or may be protected by copyrights, trademarks, service marks, patents, trade secrets or other proprietary rights and laws. Client agrees to abide by all copyright notices, information, and restrictions. Client agrees not to, directly or indirectly, sell, license, rent, modify, distribute, copy, reproduce, transmit, publicly display, publicly perform, publish, adapt, edit, create derivative works from, or otherwise exploit any content or any other submissions or other proprietary rights not owned by Client (i) without the consent of the respective owners or other valid right, and (ii) in any way that violates any third party right.

We kindly ask that any failed monthly payment be resolved as quickly as possible. Any non-paid monthly subscription fees will result in loss of service after 15 business days. Once the past due balance has been paid, the logins will be restored. After the 3rd failed payment, the next failed payment will trigger immediate suspension of the Account with no grace period.

There is an additional 3% fee for credit card payments.

 Terms and Conditions

I authorize ActionFlow to debit the bank account indicated in this web form, for the noted amount on the schedule indicated. I understand that this authorization will remain in effect until the schedule end date, or until I cancel it in writing, which ever comes first, and I agree to notify the business in writing of any changes in my account information or termination of this authorization at least 15 days prior to the next billing date. If the above noted payment date falls on a weekend or holiday, I understand that the payment may be executed on the next business day. I understand that because this is an electronic transaction, these funds may be withdrawn from my account each period as soon as the above noted transaction date. In the case of an ACH Transaction being rejected for Non Sufficient Funds (NSF) I understand that the business may at its discretion attempt to process the charge again within 30 days, and agree to an additional $30 charge for each attempt returned NSF which will be initiated as a separate transaction from the authorized recurring payment. I acknowledge that the origination of ACH transactions to my account must comply with the provisions of U.S. law. I will not dispute the company’s recurring billing with my bank so long as the transaction corresponds to the terms indicated in this agreement.
