ActionPay Terms and Conditions

Effective Date: 9/3/2026

These ActionPay Terms and Conditions (“Terms”) govern your use of ActionPay, the integrated payment processing service offered through ActionFlow Software (“ActionFlow,” “we,” “us,” or “our”). By applying for, enrolling in, or using ActionPay, you agree to these Terms.

ActionPay payment processing services are provided through Finix and its applicable banking and payment network partners. Your use of ActionPay is also subject to any merchant agreements, terms, policies, underwriting requirements, and other agreements required by Finix or its partners.

1. Eligibility and Merchant Approval

Access to ActionPay is subject to application, identity verification, underwriting, and approval by Finix and/or its applicable partners.

You agree to provide complete, current, and accurate information during the application process and throughout your use of ActionPay. Approval to use ActionFlow Software does not guarantee approval to use ActionPay.

Finix or ActionFlow may request additional information or documentation as necessary to maintain your payment processing account.

2. Payment Processing

ActionPay allows approved merchants to accept supported electronic payments through ActionFlow and other supported ActionPay payment methods.

Available functionality may include credit card, debit card, ACH, payment links, mobile payment collection, and other payment methods or features made available by ActionFlow from time to time.

Payment processing availability, settlement timing, transaction limits, and other processing requirements may vary based on your account, payment method, financial institution, risk profile, and applicable payment network requirements.

3. Processing Fees

Unless otherwise stated in your individual pricing agreement, introductory ActionPay pricing is:

  • Credit and Debit Cards: Interchange + 0.75%
  • ACH Transactions: 0.25% of the transaction amount, with a maximum processing fee of $5.00 per transaction

Interchange rates and certain card network or other third-party fees are established by payment networks, financial institutions, and other parties and may vary based on the transaction and payment method.

Your specific pricing will be provided as part of your ActionPay enrollment or merchant agreement. Additional fees may apply in circumstances including, but not limited to, chargebacks, disputes, returns, failed transactions, or other payment-related events.

ActionFlow reserves the right to modify ActionPay pricing upon reasonable notice, subject to applicable agreements and law.

4. Settlement and Funding

Standard expected funding timelines for ActionPay are:

  • Credit and Debit Cards: T+1 business days
  • ACH Transactions: T+4 business days

“T” represents the date on which an eligible transaction is processed. Weekends and applicable banking holidays are not considered business days.

These timelines are estimates and are not guaranteed. Funding may be delayed because of bank processing times, risk reviews, unusual transaction activity, ACH returns, disputes, regulatory requirements, or other circumstances outside of ActionFlow’s control.

5. Refunds, Disputes, Chargebacks, and ACH Returns

You are responsible for legitimate refunds, disputes, chargebacks, ACH returns, reversals, and other amounts associated with transactions processed through your ActionPay account.

If a customer successfully disputes a payment, an ACH payment is returned, a refund is issued, or another adjustment creates a negative balance, funds may be deducted from future settlements or your designated bank account as permitted by your applicable merchant agreements.

You are responsible for maintaining sufficient funds to satisfy these obligations.

6. Customer Transactions

You are responsible for the products and services you sell and for all transactions submitted through your ActionPay account.

You agree to:

  • Process transactions only for legitimate goods and services provided by your business.
  • Obtain all required customer authorizations.
  • Accurately describe the products or services being purchased.
  • Maintain appropriate transaction records and supporting documentation.
  • Comply with applicable refund and cancellation requirements.
  • Respond promptly to requests related to disputes, chargebacks, fraud reviews, or other transaction inquiries.

ActionFlow is not a party to transactions between you and your customers and is not responsible for disputes regarding the quality, delivery, completion, or suitability of your products or services.

You agree to defend, indemnify, and hold harmless ActionFlow from and against any claims, damages, liabilities, losses, fines, or penalties imposed by Finix, payment networks, financial institutions, or third parties arising out of your transactions, products, services, or use of ActionPay.

7. Prohibited Use

You may not use ActionPay for fraudulent, illegal, deceptive, or unauthorized transactions or for activities prohibited by Finix, applicable financial institutions, payment networks, or law.

ActionFlow or Finix may restrict, suspend, or terminate payment processing capabilities when necessary to address suspected fraud, excessive disputes or returns, prohibited activity, regulatory requirements, or material violations of applicable agreements.

8. Security and Account Access

You are responsible for protecting your ActionFlow and ActionPay account credentials and limiting access to authorized personnel.

You agree to promptly notify ActionFlow if you believe your account credentials, payment information, or ActionPay account have been compromised or used without authorization.

Payment information must be collected, stored, and processed only through ActionPay-approved methods. You should not store sensitive card or bank account information in notes, documents, emails, or other areas of ActionFlow that are not specifically designed for secure payment information.

9. Third-Party Payment Services

ActionPay relies on Finix, financial institutions, card networks, ACH networks, and other third parties to provide payment processing services.

ActionFlow does not control all aspects of these third-party services and cannot guarantee uninterrupted payment processing, settlement, banking network availability, or funding.

Changes made by payment networks, financial institutions, regulators, Finix, or other service providers may require ActionFlow to modify ActionPay functionality, requirements, fees, or these Terms.

ActionFlow shall not be liable for any indirect, special, incidental, or consequential damages resulting from payment processing errors, settlement delays, gateway downtime, or service interruptions caused by Finix, banking institutions, or payment card networks.

10. Suspension or Termination

ActionFlow or its payment processing partners may suspend, restrict, or terminate your access to ActionPay when permitted or required under your applicable agreements, including for suspected fraud, security concerns, excessive disputes or ACH returns, prohibited activity, failure to pay amounts owed, regulatory requirements, or violation of these Terms.

Termination of ActionPay does not eliminate obligations arising from transactions processed before termination, including refunds, disputes, chargebacks, ACH returns, fees, and negative balances.

11. Changes to ActionPay

ActionFlow may modify, add, discontinue, or improve ActionPay features as the service evolves.

We may also update these Terms periodically. When material changes are made, we will provide notice as required by applicable law or agreement. Continued use of ActionPay following the effective date of updated Terms constitutes acceptance of those Terms to the extent permitted by law.

12. Relationship to Other Agreements

These Terms supplement the agreements governing your use of ActionFlow Software and any merchant processing agreements entered into as part of your Finix enrollment.

If there is a conflict between these Terms and an applicable Finix, banking partner, or payment network agreement concerning payment processing, the applicable payment processing agreement will control with respect to that payment processing matter.

13. Limitation of Liability

To the maximum extent permitted by applicable law and your other agreements with ActionFlow, ActionFlow will not be responsible for losses caused by payment network outages, banking delays, ACH returns, chargebacks, customer disputes, third-party service interruptions, merchant misconduct, or actions taken by Finix, financial institutions, payment networks, or regulators.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.
